        Our common stock is traded on the Nasdaq Capital Market, or Nasdaq, under the symbol "CLDX". On June 11, 2020 the last reported sales price of our common stock on Nasdaq was $8.76 per share.

Our Company

        We are a biopharmaceutical company focused on the development and commercialization of immunotherapies and other targeted biologics. Our drug candidates are derived from a broad set of human and bispecific antibodies which have the ability to engage the human immune system and/or directly inhibit tumors to treat specific types of cancer or other diseases. They are aimed at addressing market opportunities for which we believe current therapies are inadequate or non-existent.

        The amount of proceeds from this offering will depend upon the number of shares of our common stock sold and the market price at which they are sold. DILUTION

        If you invest in our common stock in this offering, your ownership interest will be diluted to the extent of the difference between the price per share you pay in this offering and our pro forma net tangible book value per share after this offering. We calculate net tangible book value per share by dividing our net tangible book value, which is tangible assets less total liabilities, by the number of outstanding shares of our common stock.

        Our net tangible book value as of March 31, 2020 was approximately $35.0 million or $1.97 per share. Net tangible book value per share after this offering gives effect to the sale of $75.0 million of common stock in this offering at an assumed offering price of $8.76 per share, which was the closing price of our common stock as reported on Nasdaq on June 11, 2020, after deducting offering commissions and estimated expenses payable by us. PLAN OF DISTRIBUTION

        On May 19, 2016, we entered into a Controlled Equity OfferingSM sales agreement with Cantor Fitzgerald & Co., or Cantor, under which we issued and sold shares of our common stock having an aggregate gross sales price of approximately $60.0 million under the sales agreement prospectus dated May 19, 2016. Pursuant to a prospectus supplement dated November 9, 2017, we sold additional shares of common stock having an aggregate gross sales price of $75 million. Pursuant to this prospectus supplement, we may offer and sell an additional $75.0 million in aggregate gross sales price of our common stock from time to time through Cantor acting as agent pursuant to the sales agreement. This summary of the material provisions of the sales agreement does not purport to be a complete statement of its terms and conditions. A copy of the sales agreement is filed with the SEC and is incorporated by reference into the registration statement of which this prospectus supplement is a part.         Upon delivery of a placement notice and subject to the terms and conditions of the sales agreement, Cantor may sell our common stock by any method permitted by law deemed to be an "at the market offering" as defined in Rule 415(a)(4) promulgated under the Securities Act, including sales made directly on Nasdaq or any other existing trading market for our common stock.         We will pay Cantor in cash, upon each sale of our common stock pursuant to the sales agreement, a commission in an amount equal to 3.0% of the aggregate gross proceeds from each sale of our common stock. We have agreed to reimburse a portion of Cantor's expenses, including legal fees, in connection with this offering up to a maximum of $50,000. We estimate that the total expenses for the offering, excluding compensation and expense reimbursement payable to Cantor under the terms of the sales agreement, will be approximately $110,000.

        Settlement for sales of common stock will occur on the second business day following the date on which any sales are made, or on some other date that is agreed upon by us and Cantor in connection with a particular transaction, in return for payment of the net proceeds to us. There is no arrangement for funds to be received in an escrow, trust or similar arrangement. Sales of our common stock as contemplated in this prospectus supplement will be settled through the facilities of The Depository Trust Company or by such other means as we and Cantor may agree upon.

        Cantor will act as sales agent on a commercially reasonable efforts basis consistent with its normal trading and sales practices and applicable state and federal laws, rules and regulations and the rules of Nasdaq.         We are a biopharmaceutical company focused on the development and commercialization of immunotherapies and other targeted biologics. Our drug candidates are derived from a broad set of human and bispecific antibodies which have the ability to engage the human immune system and/or directly inhibit tumors to treat specific types of cancer or other diseases.
